FINDR Wholesale Terms

For wholesalers that sell to shops, and shops that buy, through FINDR Restock.

Version 1, 14 October 2026 · Last updated: 14 October 2026 · Operator: Feria Information Systems ("FINDR", "we"), company registration number CS152800726 · Read with the FINDR Terms of Service and Privacy Policy.

1. What this is

1.1 These terms apply when a wholesaler sells to a shop through FINDR Restock, and when a shop buys through it. They sit alongside the FINDR Terms of Service and the Privacy Policy. On matters between a wholesaler and a shop about goods, price, credit and returns, these terms apply. On hiring a Haul driver, the haul fee, codes, cancelling a haul or a Haul problem report, the FINDR Haul Terms for Businesses and the FINDR Haul Driver Terms apply (section 9 of the Terms of Service says the Haul terms apply where they differ).

1.2 "Wholesaler" means a business that sells packs to shops through Restock. "Shop" or "buying shop" means a business that orders from a wholesaler through Restock.

1.3 FINDR is a platform. FINDR is not the seller of the goods. The sale is between the wholesaler and the shop. FINDR does not carry wholesale goods, does not insure them, and does not employ any driver.

1.4 By selling or buying through Restock you accept these terms. We may ask you to accept in the app.

2. How a restock order reaches the shop

There are three ways. The wholesaler's offer in the app shows which one applies.

(a) The shop collects the order (pickup).

(b) The wholesaler delivers it itself, using its own vehicle, staff or a transport company it chooses.

(c) The wholesaler hires an independent driver through FINDR Haul.

FINDR never sends a FINDR rider on a restock order. The system does not allow it.

3. Who carries the goods and who is responsible

3.1 Pickup. Once the shop or its collector takes the goods at the wholesaler's premises, they are at the shop's risk. The shop should check the goods before leaving. The wholesaler should let it.

3.2 Wholesaler delivers itself. The wholesaler is the carrier. The goods stay at the wholesaler's risk until the shop, or a person at the shop's address, takes them after checking them. The wholesaler's drivers and transport company are the wholesaler's responsibility. They are not FINDR employees, workers or agents.

3.3 Wholesaler hires a Haul driver. The driver is an independent driver, not a FINDR employee, worker or agent. The contract to carry the goods is between the wholesaler and the driver. Choosing a Haul driver does not move the risk to the shop or to FINDR. The goods stay at the wholesaler's risk until the shop checks them and gives the drop-off code. Delivery is complete when the shop's receiver has checked the goods off the vehicle and given the drop-off code to the driver. The shop should therefore check the goods before it gives the drop-off code, and should photograph them and the pack labels first.

3.4 Independent drivers are responsible for damage they cause. A Haul driver is responsible to the wholesaler for goods lost, stolen, damaged or short while in the driver's care, as the Haul Terms for Businesses say. That responsibility is limited to the value the wholesaler declared when it hired the driver, or to the agreed haul price if no value was declared, and the limit does not apply to theft or deliberate loss. This is a claim of the wholesaler against the driver. FINDR is not a party to it. FINDR will give the wholesaler the driver's name, vehicle plate and trip record to help with a claim or a police report.

3.5 Declare the value. When a wholesaler hires a Haul driver for a restock order it must state the true value of the load. If it does not, the driver's responsibility is limited to the haul price, which may be far below the value of the goods.

3.6 A shop's own act. Loss caused by the shop, for example giving the drop-off code before checking the goods, is the shop's.

3.7 Each of the wholesaler and the shop should insure its own goods for the time they are at its risk.

4. Damage, shortage or a wrong item

4.1 Tell us. At present there is no report button on restock orders. To tell us about damage, a shortage or a wrong item, contact FINDR support (in the app or at support@findrgh.com) and give the order, what is wrong and at least one clear photo of the damage and the pack label. We may not be able to help without a photo.

4.2 Time. Tell us within 24 hours of delivery when the goods came by a Haul driver, and within 48 hours of handover in every other case. For a Haul delivery, the shop's owner or a manager can also report the problem in the Haul section of the app on that order within the same 24 hours. A report within 24 hours holds the driver's pay while FINDR looks at it.

4.3 A late report is still looked at. It may not be accepted unless the wholesaler agrees, and a Haul driver may already have been paid.

4.4 Keep the goods. Please do not sell or discard damaged goods until the wholesaler has replied, or 48 hours have passed.

4.5 One report, one case. For a Haul delivery the shop makes one report. FINDR does not send the shop to the driver or the driver to the wholesaler. FINDR does two things. First, it looks at the money it holds for the haul and decides whether to pay the driver, refund the wholesaler, or split it. That decision is only about the haul fee. Second, the wholesaler and the shop agree a fix for the goods: replacement, credit note, or a part or full refund. The wholesaler should answer within 48 hours of the report.

4.6 The shop's fix does not wait for the wholesaler to recover anything from a driver. The wholesaler's claim against the driver is separate.

4.7 FINDR's decision is only about how FINDR treats the money it handles. It is not a court judgment and does not stop either side from taking any other legal step.

5. Returns, cancellations and refunds

5.1 Returns. FINDR does not collect, store, inspect or resell returned goods. A return is agreed between the wholesaler and the shop: who collects, who pays transport, the condition of the goods and the time. A wholesaler can state its return terms to its shops. If it states none, the default is: unopened, undamaged packs in the original packaging, returned within 7 days of handover, at the shop's cost unless the goods were wrong or damaged. If a return is carried by a Haul driver, that is a new and separate haul under the Haul terms.

5.2 Refunds go to the shop. A refund on a restock order is paid to the buying shop's registered payout Mobile Money number, never to the personal number of the person who paid. FINDR's refunds team confirms it first. If the shop has no payout number on file, it must add one before a refund can be paid. This rule applies instead of the refund methods for consumers in section 4 of the Terms of Service. We do not promise a payment time.

5.3 What is refunded. A refund covers the value of the goods on the order. The Service fee and the payment processing fee follow the fee rule in section 4 of the Terms of Service. A Haul fee is separate: it is refunded to whoever paid it, as the Haul Terms for Businesses say.

5.4 Cancelling. A shop cannot cancel a restock order in the app. If you want to cancel a restock order before the wholesaler has accepted and packed it, ask support in the app or at support@findrgh.com. The refunds desk decides each request and tells you what can be done. After that, cancelling needs the wholesaler's agreement. If a Haul driver has been paid for, the wholesaler must cancel the haul first. After the pickup code has been entered, the haul can no longer be cancelled in the app: contact FINDR support while the goods are on the way.

5.5 Stock. If an order is cancelled or fully refunded after the shop's stock was updated, FINDR takes the stock back off the shop's record, never below zero. A part refund does not change the shop's stock; the shop must correct its own count. A Haul delivery does not add stock by itself. Stock is added when the wholesaler marks the order complete.

5.6 Short delivery. If the wholesaler edits the order down before completing it, the shop receives and is charged for what is on the order at completion.

6. Fees (at present)

6.1 At present FINDR takes no commission from the wholesaler on wholesale orders. The wholesaler receives the item price it set.

6.2 At present FINDR adds a separate Service fee to the shop's total. It is shown on its own line, before the shop confirms and pays. It is not paid to the wholesaler.

6.3 At present, when a wholesaler hires a Haul driver for a restock, the wholesaler pays the driver's agreed price plus a payment processing fee, shown before it pays. The shop pays no Haul fee, and FINDR takes no commission on the driver's price. FINDR Points, credit and promo codes cannot be used on a haul.

6.4 Late fees. A wholesaler may set a late fee for late payment on credit terms. The late fee goes 100% to the wholesaler. FINDR takes no part of it. A late fee is not refunded with an order. It is refunded only if the refunds team approves that separately.

6.5 Fees can change. We will tell you in advance, as section 11 says.

7. Confidentiality and your business information

This is a statement of what FINDR does with wholesale business information. It is not a full non-disclosure agreement between the businesses.

7.1 What counts: a wholesaler's product list, pack sizes, prices, minimum quantities, payment terms, credit limits and late-fee settings; order history and statements; a shop's product list, stock, order history, terms and statements. This is business information, not personal data.

7.2 Who can see what, as verified on 13 October 2026 for the test wholesaler:

7.3 No sale of data. FINDR does not sell, rent or give a business's information to other businesses, including competitors. FINDR may use combined figures that do not identify any business.

7.4 Who else may see it: FINDR staff who have a job reason (onboarding, support, finance, fraud and safety); service providers who run FINDR (hosting, messaging, payments and AI providers), only to provide the service; banks and payment providers, for payments they process; and anyone the law requires us to tell. We do not promise that staff access is logged.

7.5 What the businesses agree. Use the other's information (prices, terms, statements) only to trade through FINDR. Do not copy a wholesaler's price list to publish elsewhere or give it to another business. A wholesaler may not use a shop's order history to contact the shop's customers. Breach can lead to suspension.

7.6 AI features process a business's own data to answer that business only.

7.7 When a relationship ends, history is archived, not deleted, for accounting, tax and dispute reasons. The Privacy Policy explains how long data is kept.

7.8 Personal data is covered by the Privacy Policy. FINDR is registered with the Data Protection Commission, Registration No. P0039128342.

7.9 When a restock goes by Haul, after the haul is paid FINDR shares with the driver the pickup and drop-off points, the wholesaler's phone number, the buying shop's name and the phone number of the person at the shop who placed the order, so the driver can deliver. The driver must use this only for that job. The wholesaler and the shop's owners and managers can follow the driver's name, phone, vehicle plate and live position while the job is in progress. Where DVLA requires it, FINDR shares trip details with DVLA.

8. FINDR's responsibility

FINDR is not liable for loss of or damage to wholesale goods in transit or in storage, or for how a wholesaler, its drivers (including Haul drivers) or a shop handle them. For a Haul, FINDR's responsibility is limited as the Haul Terms for Businesses say. Nothing in these terms limits liability that cannot lawfully be limited.

9. Suspension

FINDR may pause or stop a business's use of Restock if it breaks these terms, for safety, or if we suspect fraud. Orders already placed are dealt with under sections 4 and 5.

10. Governing law

These terms are governed by the laws of the Republic of Ghana, and disputes are subject to its courts. If any part cannot be enforced, the rest still applies.

11. Changes

FINDR may update these terms. For a material change we will tell you in the app at least 14 days before it applies, unless a change is needed sooner for legal, safety or fraud reasons. A new version does not apply to an order placed before it applies.
